Terms of Service

These Terms of Service ("Terms") govern your access to and use of Neufia's websites, mobile applications, and related services (collectively, the "Service"). The Service is operated by Neufia and its affiliates ("Neufia", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Regions. We currently intend the Service for users located in the United Kingdom and the United States. Other jurisdictions may be restricted or unsupported.

1. Eligibility and accounts

You must be old enough to enter a binding contract where you live and meet any minimum age required by applicable law (including rules for children and teens). You are responsible for your account credentials and for all activity under your account. Notify us promptly at hello@neufia.com if you suspect unauthorized access.

2. Beta and changes

Neufia may ship features in beta. We may change, suspend, or discontinue parts of the Service with or without notice where permitted by law. We may update these Terms from time to time; we will indicate a new "Last updated" date for material changes where practical. Continued use after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires additional steps or consent.

3. Acceptable use

You agree not to:

• Violate applicable law or infringe others' rights (including intellectual property and privacy).
• Harass, threaten, abuse, defraud, or spam others; post unlawful, hateful, or exploitative content.
• Attempt to disrupt, scrape, overload, or reverse engineer the Service (except to the extent such restriction is prohibited by law).
• Misrepresent your identity or affiliation, or circumvent security or access controls.
• Use the Service to distribute malware or conduct phishing or other deceptive practices.

We may investigate and take enforcement action—including removing content, suspending accounts, or involving law enforcement—where we reasonably believe it is necessary to protect users or the Service.

4. Your content

You retain ownership of content you submit. You grant Neufia a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, display, and distribute your content solely to operate, improve, promote, and secure the Service (including moderation, safety, and backups). You represent you have the rights needed to grant this licence.

5. Third-party services

The Service may integrate or link to third parties (for example cloud hosting, authentication, maps, media embeds, or push-notification providers). Their terms and privacy notices apply to your use of those services.

6. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

7. Limitation of liability

To the fullest extent permitted by law, Neufia and its directors, employees, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business. Our aggregate liability arising out of these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim or (b) one hundred pounds sterling (GBP £100) / one hundred US dollars (USD $100) where you are billed in USD—unless applicable law does not allow such a cap.

8. Indemnity

You will defend and indemnify Neufia against claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your misuse of the Service, or your breach of these Terms, to the extent permitted by law.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access where we reasonably believe you violated these Terms or pose risk to the Service or others. Provisions that by their nature should survive (including licences you grant, disclaimers, limitations, indemnity, and governing law) will survive termination.

10. Governing law and disputes

UK users: These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, subject to mandatory consumer protections that may give you rights in your home country.

US users: If you are a consumer in the United States, mandatory state or federal consumer protections may apply to you in addition to these Terms. Where not prohibited, you agree to the exclusive jurisdiction and venue of the courts described for UK users only if you are not a US consumer or where US law permits; otherwise, US consumers may have rights to sue in their state of residence as required by applicable US law.

If you are an EU/EEA or UK consumer with mandatory rights, nothing in these Terms limits those rights. Some US states may not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.
